General terms and conditions and customer information

I. General terms and conditions

§ 1 Basic provisions

(1) The following terms apply to contracts you conclude with us as supplier (Birgit Eckmann) through shop.primo-aroma.de. Unless otherwise agreed, the incorporation of any terms you use is rejected.

(2) A consumer under these provisions is any natural person entering into a legal transaction for purposes predominantly outside their trade, business or independent professional activity. A business customer is a natural or legal person or partnership with legal capacity acting in their independent professional or commercial activity when entering into a transaction.

§ 2 Formation of the contract

(1) The contract concerns the sale of goods.

(2) By displaying a product on our website, we make a binding offer to conclude a contract through the online shopping basket under the conditions stated in the product description.

(3) The contract is formed through the online basket as follows: place the intended goods in the “basket”. You can open it using the navigation button and make changes at any time. After clicking “Checkout”, “Continue to order” or similar and entering personal details and payment and shipping conditions, the order details are shown as an order summary.

If you use an instant payment system, such as PayPal (Express/Plus/Checkout), Amazon Pay or Sofort, you are taken either to the order summary in our shop or to the provider's website. If redirected, make the appropriate selections and enter your data there. The order summary is then shown either on the provider's website or after returning to our shop. Before submitting, you can review and change the details, including using the browser's back function, or cancel the order.

By submitting the order using the corresponding button (“order with obligation to pay”, “buy” / “buy now”, “place paid order”, “pay” / “pay now” or similar), you legally accept the offer and the contract is formed.

(4) Your requests for quotations are non-binding for you. We provide a binding offer in text form, for example by email, which you may accept within five days unless the offer specifies another period.

(5) Orders and all information required in connection with contracting are processed and sent by email, partly automatically. You must therefore ensure that the email address provided is correct, that receipt is technically possible and, in particular, not blocked by spam filters.

§ 3 Special arrangements for payment methods

(1) SEPA direct debit: by granting a SEPA mandate, you authorise us to debit the invoice amount from the specified account. The pre-notification period is reduced to five days before the due date. You must ensure sufficient funds on that date. If a debit is returned through your fault, you bear the resulting bank fee.

§ 4 Right of retention and retention of title

(1) You may exercise a right of retention only for claims arising from the same contractual relationship.

(2) The goods remain our property until the purchase price is paid in full.

(3) For business customers, the following also applies:

a) We retain title until all claims from the ongoing business relationship are settled. Before ownership passes, pledging the goods or transferring them as security is prohibited.

b) You may resell the goods in the ordinary course of business. You hereby assign to us all resale claims up to the invoice amount; we accept the assignment. You remain authorised to collect these claims. If you fail to meet payment obligations properly, we reserve the right to collect them ourselves.

c) If goods subject to retention of title are combined or mixed, we acquire co-ownership of the new item in proportion to their invoice value relative to the other processed items at the time of processing.

d) On request, we will release securities to the extent their realisable value exceeds the secured claim by more than 10%. We choose which securities to release.

§ 5 Warranty

(1) Statutory rights concerning defects apply.

(2) Consumers are asked to check goods promptly on delivery for completeness, obvious defects and transport damage, and to notify us and the carrier as soon as possible. Failure to do so does not affect statutory warranty rights.

(3) Where a characteristic deviates from objective requirements, this is agreed only if we informed you before your contractual declaration and the deviation was expressly and separately agreed between the parties.

(4) For business customers, the following differs from the preceding warranty rules:

a) Only our own information and the manufacturer's product description constitute the agreed quality; other advertising, public statements and claims by the manufacturer do not.

b) For defects, we choose repair or replacement. If remedy fails, you may choose a price reduction or withdrawal from the contract. Remedy is deemed to have failed after a second unsuccessful attempt unless the nature of the goods, defect or circumstances indicates otherwise. For repairs, we need not bear increased costs caused by moving goods away from the place of performance unless that movement corresponds to their intended use.

c) The warranty period is one year from delivery. This reduction does not apply to:

Warranty label

§ 6 Applicable law

(1) German law applies. For consumers, this choice applies only insofar as it does not deprive them of protection under mandatory provisions of the law of their habitual residence (principle of the more favourable provision).

(2) The UN Convention on Contracts for the International Sale of Goods is expressly excluded.

II. Customer information

1. Seller's identity

2. Information on contract formation

The technical steps, contract formation itself and correction options follow the “Formation of the contract” provisions of our terms (Part I).

3. Contract language and storage

3.1. The contract language is German.

3.2. We do not store the full contract text. Before submitting an order through the online basket, you can print the contract details using your browser or save them electronically. After receiving your order, we send the order data, legally required distance-selling information and terms again by email.

3.3. For quotation requests outside the online basket, all contract data is sent as a binding offer in text form, for example by email, which you may print or save electronically.

4. Codes of conduct

4.1. We have committed to the buyer-seal quality criteria of Händlerbund Management AG: https://www.haendlerbund.de/de/downloads/kaeufersiegel/kaeufersiegel-zertifizierungskriterien.pdf.

4.2. We have committed to the OnTrustNet code of honour: http://www.ontrust.net/gepruefter-shop-zertifikat-685319014651.

5. Essential characteristics of goods or services

These are stated in the respective offer.

6. Prices and payment arrangements

6.1. Prices in the offers and shipping costs are total prices, including all price components and applicable taxes.

6.2. Shipping costs are not included in the purchase price. They can be viewed through a correspondingly labelled button on our website or in the offer, are shown separately during ordering and must be paid in addition unless free delivery is promised.

6.3. You bear money-transfer costs, such as bank transfer or currency-conversion fees, where delivery is to an EU member state but payment is initiated outside the EU.

6.4. Available payment methods are shown through a correspondingly labelled button on our website or in the offer.

6.5. Unless a payment method states otherwise, payment under the concluded contract is due immediately.

7. Delivery conditions

7.1. Delivery conditions, delivery dates and any restrictions are provided through a correspondingly labelled button on our website or in the offer.

7.2. For consumers, the law provides that the risk of accidental loss or deterioration during shipping passes only when the goods are handed over to you, whether insured or uninsured. This does not apply if you independently appoint a carrier not named by the trader or another person to perform shipment. For business customers, delivery and shipping are at your risk.

8. Statutory liability for defects

This is governed by the “Warranty” provisions of our terms (Part I).

These terms and customer information were prepared by Händlerbund lawyers specialising in IT law and are continually checked for legal conformity. Händlerbund Management AG guarantees the legal certainty of the texts and accepts liability in the event of legal warnings.
